These terms apply to all of Gunnie's quotes, assignments and agreements. Gunnie is registered at Brouwersstraat 23, Heeswijk-Dinther, the Netherlands, under Chamber of Commerce number 74961438.
Rates
The hourly rate is €135 excluding VAT for both development and consultancy. Ad hoc hours on demand are €140 excluding VAT. For urgent work outside office hours, or work that has to take priority over the current schedule, the rate is €210 excluding VAT per hour. Hour bundles of 20 and 40 hours have a lower hourly rate; the amounts are on the pricing page.
Hours are logged in 15-minute increments and invoiced monthly, itemised. Calls and email during an ongoing project are not billed.
Fixed price and extra work
On a fixed price the scope is agreed in writing up front. Work falling outside it is extra work and is only carried out after you have approved it in writing. After delivery, 30 days of aftercare on the delivered work are included.
When we work by the hour against an estimate, we warn you as soon as 70% of the estimate is used, not afterwards on the invoice.
Audit
An audit costs €950 excluding VAT. The report is yours to use as you see fit, including with another party. If you then give us an assignment, we deduct the €950 from the first invoice.
Hour bundles
Unused hours from an hour bundle roll over one month and expire after that. An hour bundle can be cancelled monthly, effective at the end of the current month.
Ownership of code and access
The code we write for you is yours. Repository, servers and documentation are held in the client's name. On termination we hand over access and documentation at no additional cost.
Open-source components and third-party modules we use remain subject to the licence terms of those parties.
Hosting
Hosting plans are invoiced monthly, in advance. Incident response times per plan are published on the pricing page and form part of the agreement from the Growth plan upwards.
Hosting can be cancelled monthly, effective at the end of the current month, unless an annual contract has been agreed. On an annual contract we handle migration from your current host at no cost; on a monthly contract the hours actually spent are billed.
Personal data
When we process personal data on your behalf during hosting, maintenance or development, such as the customer data in your web store, we act as your processor and enter into a data processing agreement with you for it.
Payment
Invoices are due within 14 days. On late payment we are entitled to charge statutory commercial interest and collection costs, and to suspend work until payment is received.
Liability
Our liability is limited to the invoiced amount for the assignment concerned over the preceding three months. We are not liable for consequential loss, lost revenue or data loss arising outside our sphere of influence.
We make every effort to keep hosted environments available but do not guarantee uninterrupted availability. Outages at suppliers, data centres and external integrations fall outside our liability.
Governing law
All agreements are governed by Dutch law. Disputes are submitted to the competent court in the district of Oost-Brabant.
